The sponsors of this Sweepstakes are W.A.R, We All Ride, 2500 E. Imperial Hwy STE 201-319, Brea, CA 92821, BTO Sports, 77 Duesenberg Drive, Unit C, Thousand Oaks, CA 91362 (collectively the “Sponsors”). The Sweepstakes shall be subject to these Official Rules and, by entering, all participants agree to be bound by the terms and conditions herein.

ELIGIBILITY: This Sweepstakes is open only to legal residents of the 48 states of the United States, who are 18 years of age or older as of date of entry. A prize won by a minor will be awarded in the name of their parent or legal guardian. All federal, state and local rules and regulations apply.

HOW TO ENTER: Participants do not need to pay any fee or provide any consideration to enter.  Participation is limited to one entry per person.  Participation is open to any legal resident of the United States. This promotion will award one (1) WIN WE ALL RIDES YAMAHA YZ250F with an estimated retail value of $3,500 to one (1) entrant selected by random draw, and odds of winning will vary depending upon the number of entrants, but are anticipated to exceed 1 in 1,000. Beginning at 12:00:01 a.m. (PT) on 3/01/12, you may enter via the Internet by following the directions (providing your name, address, telephone number, date of birth and e-mail address) given in the “WIN WE ALL RIDES YAMAHA YZ250F” entry section of the website at www.btosports.com (the “Entry Site”). ALL ONLINE ENTRIES MUST BE RECEIVED BY 11:59:59 P.M. (PT) ON 4/30/12. ONLY ONE ONLINE ENTRY PER PERSON, PER HOUSEHOLD AND PER E-MAIL ADDRESS WILL BE ACCEPTED. The odds of winning a prize are determined by the total number of eligible entries received for the Sweepstakes.

CONDITIONS: W.A.R., We All Ride, LLP (“WAR”) is not responsible for lost or stolen entries. Entries will be disqualified, in the sole discretion of WAR, if attempts are made to disrupt the promotion or circumvent the terms and conditions of these Official Rules. If the above occurs, WAR reserves the right to remedy any such action, disruption, or circumvention in a manner, determined solely by WAR that is fair and equitable to promotion participants. Prizes are not transferable or assignable and they are not redeemable for cash. All winners are responsible for the payment of any and all taxes and/or licenses and/or other related local, State, Federal fees that may apply to such winnings. Taxes on prizes are solely the responsibility of the winners. WAR reserves the right to replace the advertised prize(s) with a prize of equal or greater value if the advertised prize(s) is/are no longer available. WAR will not be responsible for replacing any lost or stolen elements of any prize package. All prizes will be awarded. Odds of winning depend on the number of eligible entries received, according to the eligibility requirements in this promotion. Promotion entries have no expiration date.

The promotion shall be construed and governed by, and any and all actions or claims in any way related to this promotion are subject to, the federal laws and regulations of the United States, the state laws and regulations of the State of California, and local laws and regulations of the County of Orange County, California. Any and all actions or claims in any way related to this Promotion shall be filed in the courts of the State of California, County of Orange County. By Providing an Entry to this promotion, you submit to the jurisdiction of the courts of the State of California in the United States for any and all actions or claims in any way related to this promotion, and expressly agree that such actions or claims are subject to the federal laws and regulations of the United States, the state laws and regulations of the State of California, and local laws and regulations of the County of Orange County, California. LIMITATIONS OF LIABILITY: The Sponsors and any and all Internet server(s) and access provider(s) and prize providers, and each of their respective affiliates, subsidiaries, parent corporations and advertising and promotional agencies, and all of their officers, directors, shareholders, employees and agents (collectively, the “Releasees”) are not responsible for: any incorrect or inaccurate entry information; human errors; technical malfunctions; failures, omissions, interruptions, deletions or defects of any telephone network, computer online systems, computer equipment, servers, providers, or software, including without limitation, any injury or damage to participant’s or any other person’s computer relating to or resulting from participation in the Sweepstakes; inability to access the Entry Site or any web pages thereof; theft, tampering, destruction, or unauthorized access to, or alteration of, entries; data that is processed late or incorrectly or is incomplete or lost due to telephone, computer or electronic malfunction or traffic congestion on telephone lines or the Internet or any web site (including the Entry Site) or for any other reason whatsoever; typographical, printing or other errors; or any combination thereof. Proof of entering information at the Entry Site is not considered proof of delivery or receipt. Illegible, incomplete, and duplicate entries will be disqualified. All entries become the property of the Sponsors and will not be acknowledged or returned. False, fraudulent or deceptive entries or acts shall render entrants ineligible. Sponsors shall not be liable to winner or any other person for failure to supply the prize or any part thereof, by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulations(s), order(s) or request(s) prove(s) to be invalid), equipment failure, terrorist acts, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other cause beyond Sponsors’ sole control.

DISPUTES: Except where prohibited, entrant (and, if an eligible minor, his/her parent or legal guardian) agrees that: (a) any and all disputes, claims and causes of action arising out of, or connected with, the Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the State of California; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, and in no event shall entrant be entitled to receive attorneys’ fees or other legal costs or expenses; and (c) entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrant’s rights and obligations, or the rights and obligations of the Sponsors in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of State of California, without giving effect to any choice of law or conflict of law rules (whether of the State of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than State of California.

WINNER SELECTION: A winner will be selected in a random drawing from among eligible entries on or about 5/06/12 by Sponsors, whose decisions are final in all matters relating to this Sweepstakes. Grand prize winner will be notified by e-mail, certified mail and/or telephone by 4/10/12. Grand prize winner (or grand prize winner’s parent or legal guardian if grand prize winner is under 18) may be required to execute and return an Affidavit of Eligibility/Release of Liability form, a completed IRS W-9 form and (except where prohibited) a Publicity Release form within 14 days of date of issuance of notification. Failure to return all required forms within this time period, or to comply with any other provision herein, may result in the applicable winner being disqualified and an alternate winner selected. If a prize notification or prize is returned to Sponsors or its fulfillment companies as undeliverable for any reason, prize will be awarded to an alternate. No substitution by a winner for their prize will be allowed. In the event a substitution for a prize becomes necessary due to unavailability, a prize of equal or greater value will be substituted at the sole discretion of Sponsors. Prizes are not transferable or redeemable for cash. Acceptance of a prize constitutes permission (except where prohibited) to Sponsors and their designees to use of winner's name, address (city and state), likeness and statements for publicity purposes without additional compensation.

TAXES AND EXPENSES: All Federal, state and local tax liabilities are the sole responsibility of the winner as are all other fees and expenses associated with prize acceptance and use not specified herein as being awarded. All costs of title transfer, insurance, registration, maintenance, and operation of the grand prize vehicle shall be borne by the winner.

PRIZE: One grand prize winner will be selected. The grand prize consists of the following: one 2007 Yamaha YZ250F custom outfitted by We All Ride which has been used for promotional purposes by W.A.R. We All Ride, LLC(approximate retail value (“ARV”) of the Yamaha YZF250, $3,500).

NO WARRANTIES: The Releasees makes no warranties, express or implied, in fact or in law, relative to the use or enjoyment of any of the prizes, including, without limitation, their quality, merchantability or fitness for a particular purpose. Only product providers' claims or warranties will apply with regard to prizes, and the prize winners shall look solely to the product providers for such warranties.

GENERAL: Entrants release and waive any claims they may have against Releasees for any and all injuries, claims, damages, losses, costs, or expenses of any kind (including without limitation attorney’s fees) resulting from acceptance, use, or misuse of any prize or element thereof, or participation in this Sweepstakes. If for any reason this Sweepstakes is not capable of running as planned, or if this Sweepstakes or any web site associated therewith (or any portion thereof) becomes corrupted or does not allow the proper playing of the Sweepstakes and processing of entries in accordance with these rules, or if infection by computer virus, bugs, tampering, unauthorized intervention, actions by entrants, fraud, technical failures, or any other causes, in the Sponsors’ sole opinion, corrupts or affects the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, the Sponsors reserve the right, at their sole discretion, to disqualify any individual implicated in such action and/or to cancel, terminate, modify, or suspend this Sweepstakes or any portion thereof. In the event this Sweepstakes is cancelled, the Sponsors will conduct a random drawing to award all prizes from among all eligible, non-suspect entries received prior to the time of the action or event warranting such cancellation. If such cancellation, termination, modification, or suspension occurs, notification will be posted at the Entry Site ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE (INCLUDING THE ENTRY SITE) OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND/OR CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSORS RESERVE THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. If a dispute arises about who submitted an entry on the Entry Site, the entry will be deemed submitted by the authorized account holder of the e-mail account entered. The authorized account holder is deemed the natural person who is assigned to an e-mail address by an Internet access provider, service provider, or other online organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address during the Entry Period for the Sweepstakes. A potential winner may be requested to provide the Sponsors with proof that the potential winner is the authorized account holder of the e-mail address associated with the winning entry and that all eligibility requirements are met.
